1. Definitions
1.1. "Agency": refers to WolfRecruit B.V. the recruitment agency providing the services outlined in these terms and conditions.
1.2. "Client": refers to the individual, company, or organization engaging the services of the Agency for recruitment purposes.
1.3. "Candidate": refers to any individual introduced by the Agency to the Client for the purpose of potential employment or engagement.
2. Engagement
2.1. The Client engages the Agency to provide recruitment services for the purpose of identifying and introducing suitable Candidates for employment or engagement.
2.2. The Agency will carry out its services with reasonable skill, care, and professionalism.
2.3. The Client agrees to provide all necessary information and cooperation to enable the Agency to effectively carry out its services.
3. Fees
3.1. The Client agrees to pay the Agency fees as outlined in the fee schedule provided by the Agency.
3.2. Fees are payable upon the successful placement of a Candidate with the Client or as otherwise agreed in writing between the parties.
3.3. All fees are exclusive of any applicable taxes, which will be added to the invoice and payable by the Client.
4. Candidate Placements
4.1. The Agency will introduce Candidates to the Client based on the Client's specifications and requirements.
4.2. The Client agrees to treat all Candidate information received from the Agency as confidential and to use it solely for the purpose of evaluating the Candidate for employment or engagement.
4.3. The Client agrees to inform the Agency promptly of any offer of employment or engagement made to a Candidate introduced by the Agency.
5. Guarantee
5.1. In the event that a Candidate placed by the Agency leaves the Client's employment or engagement within 30 days of commencement, the Agency will provide a replacement Candidate at no additional charge or refund the fee paid, at the Agency's discretion.
6. Confidentiality
6.1. Both parties agree to treat all information exchanged during the engagement as confidential and to not disclose it to any third party without prior written consent, except as required by law.
7. Liability
7.1. The Agency will not be liable for any loss, damage, or expense incurred by the Client arising from the actions or omissions of a Candidate introduced by the Agency.
7.2. The total liability of the Agency under these terms and conditions shall not exceed the total fees paid by the Client to the Agency.
8. Termination
8.1. Either party may terminate the engagement by providing 30 days' written notice to the other party.
8.2. Termination shall not affect any rights or obligations accrued prior to the termination date.
9. Governing Law and Jurisdiction
9.1. These terms and conditions shall be governed by and construed in accordance with the laws of Dutch civil code
9.2. Any dispute arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of Dutch civil code.
By engaging the services of the Agency, the Client agrees to be bound by these terms and conditions.
